Yasmo Live User Agreement

By accessing, viewing, downloading or otherwise using Yasmo Live or any webpage or feature available through Yasmo Live, any information provided as part of the Yasmo Live services, or any related emails, or by clicking "Sign Up" during the registration process, you conclude a legally binding agreement-‘Agreement'- with Yasmo Live Ltd-‘Us', 130 Talbot Road, London W11 1JA, United Kingdom, and become a Yasmo Live user-‘User'. If you are using Yasmo Live on behalf of a company or other legal entity, such entity may have a separate agreement with us, but you are nevertheless individually bound by this Agreement. By becoming a User, you acknowledge that you have read and understood the terms and conditions of this User Agreement and that you agree to be bound by all of its provisions.

  1. Your Obligations — What You Must Do

Comply with laws and the Agreement: You must comply with all applicable laws, the Agreement, as may be amended, and the following terms, which are incorporated into this Agreement:

    • DOs and DON'Ts
    • Yasmo Live's Privacy Policy

License and warrant your submissions: If you choose to submit something (including any User generated content, ideas, concepts, techniques and data), you grant by concluding this Agreement, a nonexclusive, irrevocable, worldwide and royalty free right to us to copy, prepare derivative works of, distribute, publish, remove, retain, add, and use and commercialise, in any way now known or in the future discovered, anything that you submit to us, without any further consent, notice and/or compensation to you or to any third parties. By submitting any information to us, you represent and warrant that such submission is accurate, is not confidential, and is not in violation of any contractual restrictions or other third party rights. You further agree to inform Yasmo Live in the event that any such information has changed since your registration with Yasmo Live and, if appropriate, you agree to make such modifications yourself to your profile.

Yasmo Live exercises no control over any content you or others submit while using Yasmo Live. Yasmo Live has no obligation to verify the identity of any Users when they are connected to the site or to supervise the content which has been provided by Users. When joining Yasmo Live as a participant you must consider that the information you decide to reveal about yourself will be viewed and used by your fellow registered participants for an event, your contacts, as requested and accepted by you and the event organisers, whose events you have registered for. As an event organiser the information that you decide to upload about your company and your forthcoming events will be viewed and used by your prospective attendees, fellow event organisers and event suppliers. As an event supplier, the information you submit about your company will be viewed and used by event organisers and fellow event suppliers. Should you believe that someone is misusing or otherwise appropriating your information, you must immediately inform Yasmo Live.

Service Eligibility: You represent and warrant that you (a) are not under the age of 18; (b) have not previously been suspended or removed from Yasmo Live; (c) are not a direct competitor of Yasmo Live; and (d) that you have full power and authority to enter into this Agreement and in doing so will not violate any other agreement to which you are a party.

Keep your password secure: Keep your password confidential, do not use other Users' accounts and do not let others use your account; you are responsible for anything that happens through your account — until you notify us of a breach (info@yasmolive.com), close down your account or prove that your account security was compromised due to a fault of our systems. You are prohibited from selling, trading or otherwise transferring your Yasmo Live account or any information therein to another party or charging anyone for access to any portion of Yasmo Live, or any information therein.

Indemnify us: You have to indemnify us and hold us harmless from any damages, losses and costs (including, but not limited to, reasonable attorneys' fees) related to third party claims, charges or investigations, caused by (a) your failure to comply with this Agreement, including, without limitation, your submission of content that violates third party rights or applicable laws, (b) any content you submit to Yasmo Live or (c) any activity in which you engage on or through Yasmo Live.

Notify us of acts contrary to the Agreement: If you believe that you are entitled or obligated to act contrary to this Agreement under any mandatory laws, you agree to provide us with detailed, 30 days prior written notice before you act contrary to this Agreement, to allow us to assess whether we may, at our sole discretion, provide an alternative remedy for the situation.

Privacy: You should carefully read our full Privacy Policy before deciding to become a User of Yasmo Live. Please note that certain information, statements, data and content (such as photographs) which you may choose to provide might, or are likely to, reveal your gender, ethnic origin, nationality, and that you are providing all such information, statements, data and content in full acknowledgment thereof and under your sole responsibility. By providing such information to us, all of which is optional, you are hereby expressly giving your informed consent to the processing by us of such "sensitive" data.

  1. Your Rights — What You May Do

On the condition that you comply with all your obligations under the Agreement, we grant you a limited, revocable, nonexclusive right to access, through a generally available web browser (but not any scraping, spidering, crawling or other technology or specialist software used to harvest data) to view information that we provide on Yasmo Live webpages as we intend such information to be used, and only in accordance with the Agreement and any specific terms of use that we make available to you.

  1. Our Rights and Obligations — What We Must And May Do

The purpose of Yasmo Live is to offer event delegates with exceptional networking services prior to, during and after every event they attend. Yasmo Live provides a platform, upon which event organisers can promote their events to prospective attendees and get access to a directory of event suppliers in order to further facilitate their events' management.

For as long as Yasmo Live continues to offer services, Yasmo Live shall provide (and seek to update, improve and expand, in similar and different new ways) the Yasmo Live platform and service through Yasmo Live's proprietary tools, rules and protocols which Yasmo Live may update, improve, discontinue and change at any time, at Yasmo Live's sole discretion.

We may modify, replace, refuse access to, suspend or discontinue Yasmo Live, partially or entirely. All of these changes shall be effective upon their posting on our site or by email communication to you. We reserve all rights not expressly granted herein, including, without limitation, title, ownership, intellectual property rights, and all other rights and interest in Yasmo Live and all related items.

Yasmo Live reserves the right to withhold, remove and or discard any content available as part of your account, with or without notice. Yasmo Live has no obligation to store, maintain or provide you a copy of any content that you or other Users provide when using the Services.

Yasmo Live may include or automatically produce links to third party web sites ("Third Party Sites"). Yasmo Live may also include articles, photographs, text, graphics, pictures, designs, music, sound, video, information, applications, software and other content or items belonging to or originating from third parties (the "Third Party Applications, Software or Content"). If you decide to leave Yasmo Live and access the Third Party Sites or to use or install any Third Party Applications, Software or Content, you do so at your own risk and you should be aware that our terms and policies no longer govern.

You acknowledge and agree that we may send you important information and notices regarding our services by email or through other means, including mobile or other hand held devices. You acknowledge, consent and agree that we may access, preserve, and disclose your registration and any other information you provide if required to do so by law or in a good faith belief that such access preservation or disclosure is reasonably necessary to: (a) comply with legal process; (b) enforce this Agreement; (c) respond to claims of a violation of the rights of third-parties; (d) respond to your requests for customer service; or (e) protect the rights, property, or personal safety of Yasmo Live, the Yasmo Live Affiliates, its Users and the public.

You are solely responsible for your interactions with other members. Yasmo Live reserves the right, but has no obligation, to monitor disputes between you and other members and to terminate your account if Yasmo Live determines, in its sole discretion, that doing so is prudent.

Disclaimer: Neither Yasmo Live, nor any of its agents, officers or employees, shall be liable to you for any damage that may occur to your mobile phone or handset as a result of you using Yasmo Live.  Furthermore neither Yasmo Live, nor its agents, officers or employees, shall be liable to you for the misuse by other third parties of any of information that is contained in or accessible to via your mobile phone or handset as a result of you using Yasmo Live.

Termination: You may terminate this Agreement, for any or no cause, at any time, with notice to Yasmo Live which shall be effective upon Yasmo Live processing such notice. Yasmo Live may terminate the Agreement for any or no cause, at any time, with or without notice, which shall be effective immediately or as may be specified in the notice. Termination of your Yasmo Live account includes disabling your access to Yasmo Live (including any content you submitted or others submitted).Yasmo Live may also, at its sole discretion, limit access to our services and/or terminate the memberships of any Users who infringe any intellectual property rights of others.

Governing Law: The formation, existence, construction, performance, validity and all aspects whatsoever of this User Agreement or of any term of this User Agreement will be governed by the laws of England and Wales. The Courts of England and Wales will have exclusive jurisdiction to settle any disputes which may arise out of or in connection with this User Agreement.  The parties irrevocably agree to submit to that jurisdiction.

  1. General Terms

Severability: If any provision of the Agreement is found to be invalid or unenforceable under mandatory laws of a particular jurisdiction, such provision shall be interpreted as to give maximum effect to its intended purpose and this shall not affect the validity or enforceability of (a) such provision under the laws of any other jurisdiction, or (b) any other provision of the Agreement.

Notices: We may notify you via postings on www.yasmolive.com, and via email or any other communications means to contact information you provide to us. You may also notify us via email at info@yasmolive.com or via mail or courier at Yasmo Live Ltd, 130 Talbot Road, London W11 1JA, United kingdom.

Amendments to this Agreement: We reserve the right to modify, supplement or replace the terms of the Agreement, effective upon posting at www.yasmolive.com or notifying you otherwise.

No Injunctive Relief: In no event shall you seek or be entitled to rescission, injunctive or other equitable relief, or to enjoin or restrain the operation of our services, exploitation of any advertising or other materials issued in connection therewith, or exploitation of our services or any content or other material used or displayed through Yasmo Live.

  1. Yasmo Live User DOs & DON'Ts

As a condition to access Yasmo Live, you agree to this User Agreement and to strictly observe the following DOs and DON'Ts:
DO

    • comply with all applicable laws;
    • provide accurate information to us and update it as necessary;
    • review the Privacy Policy;
    • review and comply with notices sent by Yasmo Live concerning Yasmo Live;

DON'T

  • duplicate, license, sublicense, publish, broadcast, transmit, distribute, perform, display, sell, rebrand, otherwise transfer or commercially exploit Yasmo Live (excluding content posted by you) except as permitted in the User Agreement;
  • reverse engineer, decompile, disassemble, decipher or otherwise attempt to derive the source code for any underlying intellectual property used to provide Yasmo Live, or any part thereof;
  • utilize information, content or any data you view on and/or obtain from Yasmo Live to provide any service that is competitive, in Yasmo Live's sole discretion, with Yasmo Live;
  • adapt, modify or create derivative works based on Yasmo Live or technology underlying our services, or other Users' content, in whole or part;
  • use manual or automated software, devices, scripts robots, other means or processes to access, "scrape," "crawl" or "spider" any web pages contained in the site;
  • use automated methods to add contacts, send messages or other permitted activities;
  • access, via automated or manual means or processes, Yasmo Live for purposes of monitoring its availability, performance or functionality or for any competitive purpose;
  • engage in "framing," "mirroring", or otherwise simulating the appearance or function of Yasmo Live's website;
  • attempt to or actually override any security component included in or underlying Yasmo Live;
  • engage in any action that interferes with the proper working of or places an unreasonable load on our infrastructure, including but not limited to unsolicited communications, attempts to gain unauthorized access, or transmission or activation of computer viruses;
  • remove any copyright, trademark or other proprietary rights notices contained in or on Yasmo Live, including those of both Yasmo Live or any of its licensors;
  • remove, cover or otherwise obscure any form of advertisement included as part of Yasmo Live;
  • use any information obtained from Yasmo Live to harass, abuse or harm another person;
  • interfere with or disrupt Yasmo Live, including but not limited to any servers or networks connected to Yasmo Live, or disobey any requirements, procedures, policies or regulations of networks connected to Yasmo Live;
  • upload a cartoon, symbol, drawing or any content other than a photograph of yourself in your profile photo, or create a false identity on Yasmo Live;
  • infringe or use Yasmo Live's brand, logos and/or trademarks, including, without limitation, using the word "Yasmo Live" in any business name, email, or URL or including Yasmo Live's trademarks and logos on any website without authorization;
  • upload, post, email, transmit or otherwise make available or initiate any content that:
    • is unlawful, libelous, abusive, obscene, discriminatory or otherwise objectionable;
    • includes information that you do not have the right to disclose or make available under any law or under contractual or fiduciary relationships (such as insider information, or proprietary and confidential information learned or disclosed as part of employment relationships or under nondisclosure agreements);
    • infringes upon patents, trademarks, trade secrets, copyrights or other proprietary rights;
    • includes any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," "pyramid schemes," or any other form of solicitation.
    • contains software viruses or any other computer code, files or programs that interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment of Yasmo Live or any User of Yasmo Live;
    • adds to a content field content that is not intended for such field (i.e. submitting a telephone number in the "title" or any other field).
